Mergers, Acquisitions, and Divestitures

Merger, acquisition, and divestiture events invariably lead to significant IT projects, often at a time when the business demand for IT projects already exceeds IT’s resources, budget, and bandwidth. WGroup is deeply skilled in developing strategy and executing on IT integration and separation efforts. Aligned to our philosophy of “business-driven IT,” we help to design the best-fit approach, for the right level of integration activity.

Our M&A services include:

  • Pre-Acquisition Due Diligence
  • M&A Integration Strategy

  • Applications Rationalization
  • Vendor Consolidation
  • Organizational Redesign

Integration models can span from a holding company model, where there is very limited technology integration, to a fully absorbed model with full technology integration. Hybrid models in-between include preservation and symbiosis where IT integration is done on only back-office functions, or where necessary to produce strategic value. Often, the challenge that IT leaders face is in determining the appropriate level of IT integration to drive efficiency and standardization, while protecting the culture and maximizing business potential of the new entity. Our Principals are adept at leading a structured analysis and planning effort to arrive at the right approach. WGroup helps IT leaders to evaluate the appropriate level of integration, and then to act on that strategy.

In M&A engagements, we first start with a baseline assessment of both organizations, focused on people, organization, processes, infrastructure, applications, vendors, capabilities, and costs. We then identify redundancies and opportunities for rationalization and consolidation. Coupled with an understanding of gaps, we develop a formal, detailed, and executable integration plan inclusive of a program timeline, project portfolio, resource plan, financial analysis, risk mitigation analysis, and communications plan, aligned to both organizations’ change capacity and business requirements. Where required, we support our clients in a program management capacity through the execution of the integration efforts.

WGroup has led M&A activity in many large organizations – including private equity entities, multi-national strategic acquirers, and midsized corporations. Our seasoned consultants follow a flexible approach to meet unique requirements and business objectives. WGroup’s chief focus is on maximizing speed to value while minimizing risk and business disruption.
